Monte dei Paschi di Siena has launched two simultaneous and parallel public exchange offers on Banco Bpm and Banca Generali for a total value of approximately 34 billion euros. This move changes the balance of the sector and, also due to its scope, is now pushing customers of the three banks to ask themselves what, in fact, could change for them.
Will this new round of banking risk have consequences for account holders, savers and investors?
The MPS plan
Monte dei Paschi di Siena is carrying out two operations:
- for Banco Bpm, the exchange provides for 1.567 new MPS shares for each Banco Bpm share, for a total value of the offer of approximately 25.35 billion euros. The offer does not provide, based on the values indicated by the bank, a premium compared to the market prices considered for the calculation.
- for Banca Generali, however, MPS offers 6.958 new shares for each share of the company, with a total value of approximately 8.72 billion euros and a premium of 10% compared to the reference values indicated.
The distinction is important because it clarifies the industrial strategy behind the two moves. In fact, a possible operation with Banco Bpm would help MPS to consolidate traditional banking services, while the agreement with Banca Generali would push more on the managed savings, consultancy and asset management front.
What changes for customers
The plan announced on 21 August 2026 by the CEO of MPS, Luigi Lovaglio, aims to build a new Italian banking hub, larger and more diversified, capable of competing with the main national and European groups. However, since this is a large financial operation, several corporate, authorization and regulatory steps will be needed before this can become reality. For customers, therefore, nothing changes immediately.
Current accounts, cards, investments, contractual relationships, mortgages and loans continue to be regulated by the institutions with which they were subscribed. If the offers are successful, however, in the medium term a phase of integration could begin which is destined to modify the products, services, distribution networks and organization of the banks.
What happens if the operation is successful
For those who are Banco Bpm customers today, the first thing to clarify is that the announcement of the offer does not automatically lead to a change of bank. An operation of this type requires a long time and different levels of authorization. The extraordinary meeting of MPS has been called for 29 October 2026, while the completion of the offers is expected, according to the timetable indicated by the bank, by mid-February 2027, always subject to the necessary green light.
If the merger is successful, however, banks will be required to integrate IT systems, branches, internal processes and products. This could lead to a progressive harmonization of the commercial offer. For the customer this could translate, depending on the choices of the new group, into:
- new products;
- greater digital integration;
- a wider network;
- possible modification of some contractual conditions in the cases and in the manner provided by law.
In the meantime, a Banco Bpm account holder will therefore continue to use their account, their cards, home banking and other services according to the conditions already established.
In any case, a merger does not mean that the bank can simply unilaterally change any conditions. Any changes must comply with the rules applicable to banking relationships and the communication procedures required by law.
Consequences for Banca Generali customers
The situation is different for Banca Generali customers, because the operation would have a strong significance in the managed savings sector. The integration would allow the new group to strengthen its expertise in wealth managementi.e. in the management and valorisation of client assets, and in financial advisory.
This could create a broader offering for those with assets to invest, with the possibility of combining the banking skills of MPS and Banco BPM with the specialist ones of Banca Generali. Once again, however, it must be made clear that there would not be an immediate change for the customer. Already subscribed investments, contracts and relationships with your advisor are not automatically canceled by the announcement of an Ops.
In the long term, however, it will be important to understand how commercial networks and the distribution of financial products will be organised.
What happens to mortgages, loans and accounts
Since a public exchange offer does not automatically determine the transfer of individual relationships from one bank to another, those who have a mortgage with Banco Bpm continue to pay the installments according to the signed contract. The same goes for personal loans, financing and other credit reports.
If there were a corporate merger in the future, however, the customer could receive communications relating to:
- reorganization of the relationship;
- new bank details;
- digital systems;
- changes in contractual conditions.
But these are, once again, subsequent steps, not immediate consequences of the August 21 announcement.
